AGREEMENT TO OUR LEGAL TERMS

We are BharatPart ("Company," "we," "us," "our"), a company registered in India, based in Ahmedabad, Gujarat.

We operate the website https://bharatpart.com/ (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

BharatPart (accessible at bharatpart.com) is a parametric electronic component search engine operated and founded in 2026 by Heet Yadav and Bhavin Umatiya. The Platform allows users to search, filter, and compare electronic components by technical parameters including resistance, voltage, package type, and other specifications, with pricing and stock information displayed in Indian Rupees (INR). The Platform aggregates component data from global distributors and Indian manufacturers and suppliers, and includes tools such as a Bill of Materials (BOM) cross-referencing tool and free calculators for engineers.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and BharatPart, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates.

The Services are intended for users who are at least 13 years of age. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Services. The Services are primarily designed for and directed at students, engineers, and professionals sourcing electronic components.

1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties around the world.

The Content and Marks are provided in or through the Services "AS IS" for your personal, non-commercial use or internal business purpose only.

Your use of our Services

Subject to your compliance with these Legal Terms, including the "PROHIBITED ACTIVITIES" section below, we grant you a non-exclusive, non-transferable, revocable license to:

access the Services; and
download or print a copy of any portion of the Content to which you have properly gained access,

solely for your personal, non-commercial use or internal business purpose.

Except as set out in this section or elsewhere in our Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

Your submissions

By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Services ("Submissions"), you agree to assign to us all intellectual property rights in such Submission. You agree that we shall own this Submission and be entitled to its unrestricted use and dissemination for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

By sending us Submissions through any part of the Services you confirm that you have read and agree with our "PROHIBITED ACTIVITIES" section and will not send us any Submission that is illegal, harassing, hateful, harmful, defamatory, obscene, abusive, discriminatory, threatening, false, inaccurate, deceitful, or misleading; you warrant that any such Submission is original to you or that you have the necessary rights to submit it; and you warrant that your Submissions do not constitute confidential information.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update it as necessary; (3) you have the legal capacity and agree to comply with these Legal Terms; (4) you are not under the age of 13; (5) if you are a minor in the jurisdiction in which you reside, you have received parental or guardian permission to use the Services; (6) you will not access the Services through automated or non-human means, whether through a bot, script, or otherwise; (7) you will not use the Services for any illegal or unauthorized purpose; and (8) your use of the Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any current or future use of the Services.

4. USER REGISTRATION

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

5. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:

Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
Circumvent, disable, or otherwise interfere with security-related features of the Services.
Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Services.
Use any information obtained from the Services to harass, abuse, or harm another person.
Make improper use of our support services or submit false reports of abuse or misconduct.
Use the Services in a manner inconsistent with any applicable laws or regulations.
Engage in unauthorized framing of or linking to the Services.
Upload or transmit viruses, Trojan horses, or other material that interferes with any party's use of the Services or disrupts the operation of the Services.
Engage in any automated use of the system, such as using scripts to send messages, or using data mining, robots, or similar data gathering tools.
Delete the copyright or other proprietary rights notice from any Content.
Attempt to impersonate another user, person, company, distributor, or manufacturer, or misrepresent your affiliation with any entity.
Upload or transmit any passive or active information collection mechanism, including web bugs, cookies, or similar devices not authorized by us.
Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services.
Harass, annoy, intimidate, or threaten any of our employees or agents.
Attempt to bypass any measures of the Services designed to prevent or restrict access.
Copy or adapt the Services' software, including but not limited to HTML, JavaScript, or other code.
Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any part of the Services, including our search algorithms or BOM-matching logic.
Use, launch, develop, or distribute any automated system, including any spider, robot, scraper, or offline reader that accesses the Services, except as may be the result of standard search engine or browser usage.
Make any unauthorized use of the Services, including collecting usernames or email addresses of users for the purpose of sending unsolicited communications, or creating user accounts by automated means or under false pretenses.
Use the Services as part of any effort to compete with us, or otherwise use the Services or Content for any revenue-generating endeavor not authorized by us.
Scrape, crawl, harvest, or extract data from the Platform (including pricing, stock levels, part listings, or manufacturer/supplier data) using bots, scripts, or automated tools without our prior written consent.
Access or attempt to access the Platform's underlying APIs, databases, or backend systems through any means other than the interfaces we provide.
Circumvent, disable, or interfere with rate limits, authentication, CAPTCHAs, or other security or access-control measures.
Register multiple accounts to evade restrictions, bans, or rate limits.
Share, sell, or transfer your account credentials to another person, or use another user's account without authorization.
Upload files (including BOM files) containing malware, viruses, scripts, or any code designed to damage, disrupt, or gain unauthorized access to the Platform or other users' systems.
Upload or submit any content that infringes another party's intellectual property, including copyrighted datasheets, proprietary specifications, or trademarked material you don't have rights to distribute.
Submit false, misleading, or fraudulent component listings, specifications, certifications, or compliance claims, including misrepresenting counterfeit, refurbished, or non-genuine parts as authentic or new.
Use the Platform to send spam, unsolicited commercial messages, or phishing attempts to other users, suppliers, or manufacturers.
Harass, threaten, defame, or abuse other users, suppliers, manufacturers, or our team, or post or transmit content that is unlawful, obscene, discriminatory, or otherwise objectionable.
Interfere with or disrupt the Platform's functioning, servers, or networks, including through denial-of-service attacks or excessive automated requests.
Use the Platform to source, list, or facilitate the sale of components for any illegal purpose, including circumventing export controls, sanctions, or dual-use/end-use restrictions applicable to electronic components.
Use the Platform in violation of any applicable Indian law, including the Information Technology Act, 2000 and rules made thereunder.
Use the Platform to build a competing product or service by systematically copying or replicating its catalog, pricing data, or functionality.
Resell, sublicense, or redistribute access to the Platform without our written permission.

We reserve the right to suspend or terminate accounts that violate the above, and to take appropriate legal action where necessary.

6. THIRD-PARTY WEBSITES AND CONTENT

The Services may contain links to other websites ("Third-Party Websites") as well as content belonging to or originating from third parties ("Third-Party Content"). Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Websites accessed through the Services or any Third-Party Content posted on or available through the Services. If you decide to leave the Services and access Third-Party Websites, you do so at your own risk, and these Legal Terms no longer govern. Any purchases you make through Third-Party Websites are exclusively between you and the applicable third party, and we take no responsibility in relation to such purchases.

7. ADVERTISERS

We may allow advertisers to display advertisements and other information in certain areas of the Services, such as sidebar or banner advertisements. We simply provide the space to place such advertisements and have no other relationship with advertisers unless otherwise expressly agreed in writing.

8. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms; (3) refuse, restrict, or disable access to any portion of the Services in our sole discretion; and (4) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

9. TERM AND TERMINATION

These Legal Terms shall remain in full force and effect while you use the Services. We reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Services to any person for any reason, including breach of any representation, warranty, or covenant contained in these Legal Terms or of any applicable law. We may terminate your use of the Services or delete your account at any time, without warning, in our sole discretion.

If we terminate or suspend your account for any reason, you are prohibited from registering a new account under your name, a fake name, or the name of any third party. We reserve the right to take appropriate legal action, including civil, criminal, and injunctive redress.

10. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We cannot guarantee the Services will be available at all times and may experience interruptions, delays, or errors. You agree that we have no liability for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance.

11. GOVERNING LAW

These Legal Terms shall be governed by and construed in accordance with the laws of India. Subject to the Dispute Resolution section below, the courts at Ahmedabad, Gujarat, India shall have exclusive jurisdiction over any dispute not subject to arbitration under these Legal Terms.

12. DISPUTE RESOLUTION

Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a "Dispute"), the Parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other.

Binding Arbitration

If the Parties are unable to resolve the Dispute through informal negotiations, the Dispute shall be referred to and finally resolved by arbitration conducted by a sole arbitrator, in accordance with the Arbitration and Conciliation Act, 1996 (as amended from time to time). The seat and venue of arbitration shall be Ahmedabad, Gujarat, India. The language of the arbitration proceedings shall be English. The arbitral award shall be final and binding on both Parties.

Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, no arbitration shall be joined with any other proceeding, and there is no right for any Dispute to be arbitrated on a class-action basis or in a representative capacity on behalf of the general public or other persons.

Exceptions to Informal Negotiations and Arbitration

The Parties agree that the following Disputes are not subject to the above provisions: (a) any Dispute seeking to enforce or protect, or concerning the validity of, any intellectual property rights of a Party; (b) any Dispute related to allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, such Dispute shall be decided by a court of competent jurisdiction as set out in the Governing Law section above.

13. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information on the Services at any time, without prior notice.

14. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT, INCLUDING ANY THIRD-PARTY PRICING, STOCK, OR SPECIFICATION DATA, AND WE ASSUME NO LIABILITY FOR ANY ERRORS, MISTAKES, OR INACCURACIES OF SUCH CONTENT, ANY UNAUTHORIZED ACCESS TO OUR SERVERS, ANY INTERRUPTION OF THE SERVICES, OR ANY BUGS OR VIRUSES TRANSMITTED THROUGH THE SERVICES BY ANY THIRD PARTY. WE DO NOT WARRANT, ENDORSE, OR GUARANTEE ANY PRODUCT OR SERVICE OFFERED BY A THIRD PARTY THROUGH THE SERVICES, AND WE WILL NOT BE A PARTY TO OR RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND ANY THIRD-PARTY PROVIDER. YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

15. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Notwithstanding anything to the contrary in these Legal Terms, our total aggregate liability to you for any and all claims arising out of or relating to your use of the Services, whether in contract, tort, or otherwise, shall not exceed the lesser of: (a) the total amount, if any, paid by you to us for use of the Services in the twelve (12) months preceding the event giving rise to the claim; or (b) INR 5,000 (Indian Rupees Five Thousand). This limitation reflects that the Services are provided free of charge to most users and rely on component pricing, stock, and specification data sourced from third parties that we do not independently verify or authenticate.

16. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of: (1) your use of the Services; (2) your breach of these Legal Terms; (3) any breach of your representations and warranties set forth in these Legal Terms; (4) your violation of the rights of a third party, including intellectual property rights; or (5) any harmful act toward any other user of the Services. We reserve the right, at your expense, to assume the exclusive defense of any matter for which you are required to indemnify us.

17. USER DATA

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you undertake using the Services. Please refer to our Privacy Policy for details on how we collect, use, and protect your personal data.

18. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing. You hereby agree to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices and records of transactions initiated or completed by us or via the Services.

19. MISCELLANEOUS

These Legal Terms and any policies or operating rules posted by us on the Services constitute the entire agreement between you and us. Our failure to exercise or enforce any right or provision shall not operate as a waiver of such right or provision. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity of any remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Legal Terms.

20. THIRD-PARTY DATA DISCLAIMER

Pricing, stock availability, technical specifications, and other component data displayed on the Platform are sourced from third-party distributors, manufacturers, and suppliers. While we take reasonable steps to keep this data current, we do not guarantee its accuracy, completeness, or timeliness. BharatPart is not liable for any loss, damage, or purchasing decision made in reliance on pricing, stock, or specification data displayed on the Platform. Users are responsible for independently verifying critical information directly with the relevant distributor or manufacturer before making a purchasing decision.

21. NO PARTY TO UNDERLYING TRANSACTIONS

BharatPart is a search and discovery platform. Where a user proceeds to purchase a component from a distributor, manufacturer, or supplier listed on the Platform, that transaction occurs directly between the user and the third party, and BharatPart is not a party to it. We are not responsible for order fulfillment, delivery, payment disputes, returns, warranty claims, or the quality or genuineness of any component purchased through a third party. Any dispute arising from such a transaction must be resolved directly between the user and the relevant third party.

22. NO GUARANTEE OF COMPONENT AUTHENTICITY

BharatPart aggregates listings and data provided by third parties and does not manufacture, inspect, certify, or take physical custody of any component listed on the Platform. We do not guarantee that any component is genuine, unused, or free from defect, and we disclaim liability for counterfeit, misrepresented, or substandard components listed by third parties, without prejudice to our right to remove such listings and take action against the responsible party.

23. OWNERSHIP OF PLATFORM DATA AND CATALOG

While underlying component specifications and manufacturer information belong to their respective owners, the structured, aggregated, and organized catalog created by BharatPart, including our parametric search index, categorization system, and compiled comparison data, is the intellectual property of BharatPart. Systematic extraction, replication, or reuse of this aggregated catalog to build a competing product or service is prohibited without our prior written consent.

24. COMPLIANCE AND EXPORT RESPONSIBILITY

BharatPart provides a discovery and comparison tool only. Users are solely responsible for ensuring that their sourcing, purchase, export, or end-use of any component complies with all applicable laws, including export control regulations, sanctions, and dual-use goods restrictions. BharatPart assumes no responsibility for verifying the legality of a user's intended use of any component and disclaims all liability arising from a user's non-compliance with such laws.
